By accessing precisionwellnesspractice.com or purchasing any program, session, or license from The Precision Wellness Practice, you agree to these Terms and Conditions in full. If you do not agree, do not use our website or services. These Terms apply to all users including visitors, subscribers, event attendees, and enrolled practitioners.
1. About Us
The Precision Wellness Practice (“the Company,” “we,” “us,” or “our”) is a licensed practice operating system for health and wellness practitioners, founded by Sachin Patel and Dipa Chauhan-Patel. We operate from Mississauga, Ontario, Canada and primarily serve practitioners in the United States. Website: precisionwellnesspractice.com.
2. Eligibility
Our programs and services are intended for licensed or certified health and wellness practitioners and wellness businesses including but not limited to: chiropractors, health coaches, naturopaths, naturopathic doctors, nurse practitioners, functional medicine practitioners and doctors, integrative medicine providers, nutritionists, dietitians, gyms and fitness studios, clinics and medical practices, med spas, corporate wellness providers, and other health and wellness businesses. You must be at least 18 years of age to use our services or make a purchase.
We reserve the right to decline any application or enrollment at our sole discretion without being required to provide a reason. Acceptance into the licensee program does not constitute a guarantee of business or clinical results.
3. Services Offered
- Practice Clarity Call / Precision Wellness Build Session ($247): A 60-minute one-on-one strategy session with a practice advisor. The $247 fee is credited in full toward any program enrollment.
- Group Mentorship Program ($4,997/year): Annual access to group coaching calls, full Precision Wellness methodology training, done-for-you operating system resources, and community access.
- Full Licensee Program ($9,997/year): Annual license including the Living Light Metabolic Reset clinical curriculum, complete operating system, CRM setup, done-for-you assets, and full community access. Renewal-based model with annual review.
- Online Events and Workshops: Precision Wellness Live two-day Zoom immersions, topical masterclasses, and in-person mastermind retreats. Schedules and availability subject to change.
- Free Resources: Scorecard, lead magnets, and educational content provided at no charge.
All pricing is in US dollars unless otherwise stated. Prices are subject to change with notice. Enrolled practitioners are not affected by price changes during their active license term.
4. Payment Terms
Payment is due at the time of purchase. For the Full Licensee Program, a payment plan option is available (details confirmed on the discovery call). Payment plan terms:
- Down payment due at enrollment
- Remaining balance collected in monthly installments as agreed
- Failure to complete payment plan installments may result in suspension of program access until the balance is resolved
- Accounts in default for more than 30 days may be referred for collection; you remain responsible for the full contracted amount regardless of program participation
- If you voluntarily cancel mid-payment-plan, the remaining installment balance is still owed in full. Access to all program materials, CRM infrastructure, assets, and community ceases on the date of cancellation. No pro-rata refund or credit applies.
Payments are processed through Practice Better (for the Clarity Call / Build Session), Stripe, and ThriveCart. By submitting payment, you authorize the charge to your payment method. No payment for the licensee program is processed before a discovery call confirms your enrollment terms.
5. Refund Policy
Practice Clarity Call / Precision Wellness Build Session ($247)
Non-refundable. The $247 is credited in full toward any program enrollment with no time limit. If the call is rescheduled or missed without 24 hours’ notice, the session may be forfeited.
Group Mentorship and Full Licensee Program
Due to the immediate delivery of digital access including curriculum materials, CRM setup, onboarding resources, community access, and done-for-you assets upon enrollment, all program fees are non-refundable once onboarding has commenced or materials have been accessed.
If you believe you have been charged in error or experienced a technical failure preventing access, contact us within 7 days at info@precisionwellnesspractice.com and we will investigate. Chargebacks initiated without first contacting us may result in immediate suspension of program access and may be disputed.
Events and Workshops
Registration fees for Precision Wellness Live workshops and masterclasses are non-refundable. Registrations may be transferred to a future event of equal value with at least 7 days’ written notice before the event date. No transfers are permitted after that window. If we cancel an event, registered participants will receive a credit toward a future event or a refund of the registration fee, at our discretion.
In-Person Retreats
Retreat registrations are non-refundable due to venue, travel, and catering commitments. If you are unable to attend, you may transfer your registration to another eligible licensee with at least 14 days’ written notice. We are not responsible for travel or accommodation costs you incur.
6. Subscription and Renewal
The Group Mentorship and Full Licensee programs are annual subscriptions. At month 10 to 11 of your license year, we will contact you to discuss renewal. Renewal is not automatic. You must affirmatively confirm your intention to renew and make payment to continue access beyond your current license term.
If you choose not to renew, all access to program materials, community platforms, CRM infrastructure, done-for-you assets, and support ceases at the end of your license year. You may retain materials delivered to you in physical form if applicable. You may not continue delivering the Living Light Metabolic Reset program under license after your license lapses.
Renewal pricing may differ from your original enrollment price. Renewal terms will be communicated at least 60 days before your renewal date.
7. License Grant and Restrictions
Upon enrollment in the Full Licensee Program, you are granted a non-exclusive, non-transferable, revocable license to deliver the Living Light Metabolic Reset program within your own health practice for the duration of your active license year. This license is personal to you and your practice.
This license does not permit you to:
- Sublicense, resell, franchise, or transfer program materials, methodology, or frameworks to any other practitioner or business
- Reproduce, copy, distribute, or publish curriculum materials, scripts, or educational content outside of direct patient delivery
- Use the Precision Wellness name, logo, or trademarks without prior written permission
- Present yourself as a representative, employee, partner, or affiliate of The Precision Wellness Practice without authorization
- Modify the core clinical methodology and present it as equivalent to the licensed program
- Train other practitioners to deliver the program outside of what is expressly permitted in your licensee agreement
Violations of these license restrictions may result in immediate termination of your license without refund and may give rise to legal action for intellectual property infringement.
8. Intellectual Property
All content on precisionwellnesspractice.com and within our programs, including text, frameworks, methodologies, graphics, videos, scripts, CRM configurations, automations, marketing assets, training materials, and the Living Light Metabolic Reset curriculum, is the intellectual property of The Precision Wellness Practice or its licensors and is protected by Canadian, US, and international copyright and trademark law.
Nothing in these Terms grants you ownership of any intellectual property. Your license to use materials ends when your program access ends.
9. Practitioner Responsibilities and Scope of Practice
- Your professional license and scope of practice in your jurisdiction
- Applicable state, provincial, or national healthcare regulations
- Any applicable licensing board guidelines or standards of practice
- FTC advertising rules and health claim regulations applicable to your professional category
- HIPAA or applicable health privacy regulations when handling patient data
The Precision Wellness Practice does not provide legal, regulatory, or compliance advice. We strongly recommend consulting a qualified attorney familiar with your jurisdiction and professional category before making any claims about patient outcomes in your marketing.
We are not responsible for how you apply program content in your practice. Any regulatory complaints, licensing board actions, or patient claims arising from your use of the program are your sole responsibility.
10. Patient Data and CRM Infrastructure
As part of the Full Licensee Program, practitioners receive access to a pre-configured CRM (GoHighLevel) set up by The Precision Wellness Practice. The following applies to patient and client data collected through this infrastructure:
- Data ownership: All patient and client data you collect through the CRM in connection with your practice belongs to you. The Precision Wellness Practice does not claim ownership of your patient records.
- Access: The Precision Wellness Practice may have administrative access to the CRM platform for setup, technical support, and maintenance purposes. We do not access, use, or share your patient records for any purpose beyond technical support unless required by law.
- HIPAA: You are responsible for ensuring your use of the CRM complies with HIPAA and any applicable state health privacy laws if you handle Protected Health Information (PHI) of US patients. If your use of the shared CRM infrastructure requires a Business Associate Agreement (BAA) under HIPAA, it is your responsibility to request one from GoHighLevel directly. The Precision Wellness Practice is not a covered entity or business associate under HIPAA.
- Data on license lapse: Upon license expiry or cancellation, you should export your patient data promptly. We will take reasonable steps to preserve your data for 90 days after license end, after which it may be deleted from the platform.
- Patient consent: You are responsible for obtaining appropriate informed consent from your patients for the collection and use of their data through your practice systems.
11. FTC Compliance and Marketing Claims
The done-for-you marketing assets included in the licensee program are provided as templates. You are responsible for reviewing any marketing materials before use and ensuring they comply with applicable FTC guidelines, state consumer protection laws, and your professional licensing board’s advertising standards.
Specifically, you must not:
- Make health claims that go beyond what is substantiated by evidence and permitted under your license
- Use income or outcome figures in your marketing without appropriate disclosures indicating results are not typical
- Use testimonials that imply guaranteed results or misrepresent typical outcomes
- Fail to disclose material connections when endorsing products or services, including your affiliation with The Precision Wellness Practice, if relevant
If you are unsure whether a claim in your marketing is compliant, consult a qualified FTC compliance attorney before publishing it.
12. No Medical Advice
The information, training, and resources provided by The Precision Wellness Practice are for practitioner business and clinical education purposes only. Nothing we provide constitutes medical advice for your patients. Practitioners are responsible for exercising their own clinical judgment and applying program content within their scope of practice. Patients of licensee practitioners are not patients of The Precision Wellness Practice.
13. Income and Results Disclaimer
Any income figures, revenue projections, practice growth examples, or patient outcome statistics referenced in our content, programs, marketing, or testimonials represent individual results and are not typical. They are provided for illustrative purposes only and do not constitute a guarantee, promise, or warranty of any kind.
Your results will vary depending on factors including your professional background, local market conditions, effort, consistency, business experience, prior practice size, and circumstances outside our control. By enrolling in any program, you acknowledge and accept that we make no guarantee of specific financial, clinical, or business outcomes.
14. Confidentiality
As a licensee or program participant, you may have access to proprietary business information, unpublished methodologies, community member information, and other confidential material. You agree to keep this information confidential and not to share it outside the program community without written permission.
Information shared by other practitioners in community calls, retreats, or group sessions is shared in confidence. You agree not to record, share, or repurpose other participants’ information or disclosures without their express consent.
15. Community Standards
Participation in the Precision Wellness community, including online calls, private groups, retreats, and masterminds, requires professional conduct. You agree to:
- Treat all participants, team members, and facilitators with respect
- Refrain from harassment, discrimination, or disparagement of others
- Refrain from soliciting or recruiting other participants for competing programs
- Engage in good faith and contribute constructively to the community
Violations of community standards may result in removal from the community and suspension or termination of your license without refund.
16. Termination
We reserve the right to suspend or terminate your program access and license with immediate effect, without refund, if you:
- Violate any provision of these Terms
- Misuse program materials or intellectual property
- Engage in conduct that is harmful to other participants, the community, or the reputation of The Precision Wellness Practice
- Make fraudulent payment or initiate an unjustified chargeback
- Default on a payment plan
If you wish to terminate your enrollment voluntarily, contact us in writing. Voluntary termination does not entitle you to a refund under the no-refund policy described in Section 5.
17. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, pandemics, government restrictions, infrastructure failures, or acts of God. If an in-person event is cancelled due to force majeure, registered attendees will receive a credit toward a future event.
18. Disclaimer of Warranties
Our website, programs, and services are provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our website will be uninterrupted, error-free, or free of viruses.
19. Limitation of Liability
To the maximum extent permitted by applicable law, The Precision Wellness Practice, its founders, team members, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website, programs, or services, even if advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising from our services shall not exceed the total amount you paid to us in the 12 months preceding the claim.
20. Indemnification
You agree to indemnify, defend, and hold harmless The Precision Wellness Practice, its founders, team members, and affiliates from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: your use of our services; your breach of these Terms; your violation of any applicable law or regulation; your marketing or patient care activities; or any claim by a third party related to your practice.
21. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law provisions. You agree that any dispute arising under these Terms shall first be attempted to be resolved through good-faith written negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Ontario, Canada under the Arbitration Act, 1991 (Ontario), except where applicable consumer protection law in your jurisdiction requires otherwise.
Class action waiver: To the fullest extent permitted by applicable law, you waive any right to bring or participate in any claim as a class action, collective action, or representative proceeding. All disputes must be brought individually. This waiver does not apply where prohibited by law.
Nothing in this section limits either party’s right to seek injunctive or other equitable relief for intellectual property violations.
22. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable, it will be severed and the remaining provisions will continue in full force. These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and The Precision Wellness Practice with respect to the subject matter herein and supersede all prior agreements.
23. Changes to These Terms
We may update these Terms periodically. The “Last updated” date at the top reflects the most recent revision. Continued use of our website or services after changes are posted constitutes acceptance. Material changes will be communicated by email to active program participants.
